Terms of Service

These Terms of Service ("Agreement") constitute a legally binding contract between you ("User", "you", or "your") and JVZooHub ("Company", "we", "us", or "our"), operator of www.jvzoohub.com. By creating an account, accessing, or using our services in any manner, you unconditionally agree to be bound by this Agreement. If you do not agree, you must immediately cease all use of our services.

1. Description of Services

JVZooHub is a Software-as-a-Service (SaaS) platform that enables JVZoo marketplace vendors to automate the delivery of digital bonuses and products to their buyers. Core features include:

  • JVZoo Instant Payment Notification (IPN) integration to automatically grant and revoke buyer access;
  • A branded buyer portal where customers can access their purchased bonuses;
  • Product and bonus library management;
  • Coupon creation and affiliate link management;
  • Analytics and sales reporting;
  • Team member access with role-based permissions (Agency plan);
  • AI-powered content generation tools;
  • Review and testimonial collection.

The platform acts as a delivery and access-control layer. We do not process payments on your behalf or operate as a payment processor. All underlying transaction data originates from JVZoo's systems and is received via IPN webhooks.

2. Eligibility and Account Registration

2.1 Eligibility. You must be at least 18 years of age and have the legal capacity to enter into binding contracts. Our services are intended for business users — specifically individuals or entities who operate as JVZoo sellers or affiliates.

2.2 Account Accuracy. You agree to provide accurate, current, and complete information during registration and to maintain its accuracy. You are solely responsible for all activity that occurs under your account.

2.3 Security. You must keep your login credentials confidential. Notify us immediately at support@jvzoohub.com of any unauthorised access or security breach. We are not liable for any loss arising from your failure to maintain credential security.

2.4 One Account Per User. Unless explicitly authorised in writing by us, each individual or business entity may maintain only one vendor account. Creating multiple accounts to circumvent plan limits is a material breach of this Agreement.

3. Subscription Plans, Billing & Payment

3.1 Plans. Our services are offered under several subscription tiers (Starter, Growth, Agency) as described on our pricing page. Feature availability, buyer limits, and product limits vary by plan.

3.2 Payment Processing. All payments are processed through Stripe, Inc. By subscribing to a paid plan, you agree to Stripe's Terms of Service. We do not store your full payment card details.

3.3 Billing Cycle. Subscriptions are billed in advance on a recurring monthly or annual basis, as selected at checkout. Your subscription will automatically renew at the end of each billing period unless cancelled before the renewal date.

3.4 Cancellation. You may cancel your subscription at any time through your billing dashboard. Upon cancellation, your access to paid features will continue until the end of the current billing period. We do not provide prorated refunds for partial billing periods, except as required by applicable law.

3.5 Free Trial. Where a free trial is offered, your account is subject to reduced feature access and buyer/product limits as specified during registration. We reserve the right to modify or terminate trial offerings at any time.

3.6 Lifetime Plans. A "lifetime" plan grants access to the Service for the duration that the Service remains commercially operated by the Company, subject to this Agreement. Lifetime plans are non-transferable and non-refundable after the refund window in Section 3.7.

3.7 Refund Policy. Paid subscriptions are eligible for a refund if requested within 14 days of the initial charge, provided no substantial use of premium features has occurred. Refund requests must be submitted to support@jvzoohub.com. We reserve the right to decline refunds where abuse of the policy is suspected. See our full Refund Policy for details.

3.8 Price Changes. We reserve the right to modify subscription pricing with at least 30 days' advance written notice to existing subscribers before any price increase applies to their account.

4. JVZoo IPN Integration

4.1 IPN Credentials. To use our core features, you must configure your JVZoo IPN endpoint to point to our platform. You represent and warrant that you are the authorised account holder of each JVZoo account you connect.

4.2 Data Accuracy. IPN data is received directly from JVZoo and displayed as received. We make no independent representations regarding its accuracy. Discrepancies in transaction data should be resolved directly with JVZoo.

4.3 IPN Security. You are responsible for maintaining the security of your JVZoo IPN secret key. We recommend enabling IPN signature verification within your dashboard settings.

5. User Accounts — Buyers

When a buyer purchases a product from you on JVZoo, JVZooHub may automatically create a buyer account granting access to the associated bonuses. Buyer accounts are subject to the terms applicable to buyers as displayed at the time of access. You, as the vendor, are responsible for ensuring that the products and bonuses you deliver through our platform comply with all applicable laws and JVZoo's policies.

6. Acceptable Use

You agree not to:

  • Grant unauthorised access to buyer portals or share buyer credentials;
  • Reproduce, redistribute, resell, or sublicense the JVZooHub platform or its underlying technology;
  • Reverse-engineer, decompile, or attempt to derive source code from our services;
  • Use automated tools (bots, scrapers) beyond any authorised API access;
  • Attempt to gain unauthorised access to any part of our platform or infrastructure;
  • Use our services for any unlawful purpose or in violation of applicable regulations;
  • Upload or distribute malicious code, spam, or content that infringes third-party intellectual property rights;
  • Interfere with or disrupt the integrity or performance of our services;
  • Circumvent any billing, access-control, or security mechanism of the platform.

7. Team Member Access (Agency Plan)

Agency plan subscribers may invite additional team members to access their account data. The account owner is solely responsible for: (a) all actions taken by invited team members; (b) ensuring team members comply with this Agreement; and (c) promptly revoking access when no longer appropriate. Team members may not modify billing settings or connect additional JVZoo accounts without the owner's authorisation.

8. Intellectual Property

8.1 Our IP. The JVZooHub platform — including software, design, trademarks, logos, and content created by us — is and remains the exclusive intellectual property of the Company. This Agreement does not transfer any ownership interest to you.

8.2 Your Content. You retain all ownership rights in the bonus products, files, and content you upload to our platform. You grant us a limited, non-exclusive, royalty-free licence to store, process, and display your content solely for the purpose of providing the Service to you and your buyers.

8.3 Feedback. Any suggestions or feedback you provide regarding our platform may be used by us without any obligation to you.

9. Confidentiality

Each party agrees to maintain the confidentiality of the other party's non-public information disclosed in connection with this Agreement, using no less care than it uses to protect its own confidential information (but no less than reasonable care), and not to disclose such information to any third party without prior written consent, except as required by law.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, UNINTERRUPTED ACCESS, AND NON-INFRINGEMENT. We do not warrant that the Service will be error-free or that IPN data received from JVZoo will be complete or accurate.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL JVZooHub, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Our total aggregate liability for any claim arising out of or relating to this Agreement shall not exceed the greater of: (a) the total amounts paid by you to us in the twelve (12) months immediately preceding the claim; or (b) one hundred US dollars (USD $100).

12. Indemnification

You agree to defend, indemnify, and hold harmless JVZooHub and its officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of: (a) your violation of this Agreement; (b) your use or misuse of the Service; (c) your violation of any third-party rights, including JVZoo's Terms of Service; or (d) your violation of any applicable law.

13. Termination

13.1 By You. You may terminate your account at any time by cancelling your subscription and requesting account deletion at support@jvzoohub.com.

13.2 By Us. We may suspend or terminate your account immediately and without prior notice if we determine, in our sole discretion, that you have violated this Agreement, engaged in fraudulent or abusive activity, or if required to do so by law.

13.3 Effect of Termination. Upon termination, your right to access the Service immediately ceases. Your data will remain available for 30 days following termination to allow for export, after which it may be permanently deleted. Sections 8, 9, 10, 11, 12, 14, and 15 survive termination.

14. Governing Law & Dispute Resolution

This Agreement is governed by and construed in accordance with applicable law, without regard to conflict-of-law principles. Any dispute arising under this Agreement that cannot be resolved through good-faith negotiation shall be submitted to binding arbitration under the applicable arbitration rules of the relevant jurisdiction. The prevailing party shall be entitled to recover reasonable attorneys' fees and costs.

Class Action Waiver. You and the Company each waive any right to bring disputes as a class action, collective action, or in any representative capacity.

15. Modifications to This Agreement

We reserve the right to modify this Agreement at any time. Material changes will be communicated via email to your registered address and/or by a prominent notice within the Service at least 14 days before changes take effect. Your continued use of the Service after the effective date constitutes your acceptance of the revised Agreement.

16. Miscellaneous

  • Entire Agreement. This Agreement, together with our Privacy Policy, Cookie Policy, and Refund Policy, constitutes the entire agreement between the parties and supersedes all prior agreements.
  • Severability. If any provision of this Agreement is found unenforceable, that provision will be limited to the minimum extent necessary, and the remaining provisions will remain in full force.
  • No Waiver. Failure by either party to enforce any provision of this Agreement shall not constitute a waiver of future enforcement.
